Terms and Conditions

1. INTRODUCTION: The following set forth the terms and conditions that govern ReaLook's Pay Per Click Advertising Program. These Terms and Conditions constitute an agreement between you and ReaLook, please read them carefully.

2. AGREEMENT: By signing up as an Advertiser in ReaLook's Pay Per Click program, you agree to be bound by the Terms and Conditions set forth in this Agreement. You acknowledge and represent that all information you provide will be accurate, complete and current and you are at least 18 years old.

3. SERVICES: By electing to enroll as an Advertiser with ReaLook, you, the Advertiser, may bid for placement on ReaLook. You, the Advertiser, are solely responsible for the selection of search terms and the amount of bids you place on these search terms. ReaLook agrees to display your website URL anddescription for various pre-selected keywords and search terms based on your selected placement. Your information will be displayed on the user's search results. ReaLook offers this service to you, the Advertiser, for a fee. In return, you, the Advertiser, agrees to pay ReaLook a fee based on your selected placement and the number of click throughs by a user. ReaLook will automatically deduct an amount from the Advertisers prepaid fund equal to the amount of the Advertisers bid for any search term used by a ReaLook user.

4. SUBMISSION REQUIREMENTS: You, the Advertiser, are required to submit accurate and relevant information about your website. All selected keywords must be revelant to the subject of your Website. Websites that contain adult content will be reviewed on a case by case basis. ReaLook reserves the right to accept, edit, reject or remove any advertising, without notice, that does not meet these guidelines.

5. REPORTING STATISTICS: Advertiser agrees that any statistics provided to you by ReaLook, including but not limited to, statistics regarding clickthrough rates and placement of your advertising are the official and definitive measurement of ReaLook's performance on any obligation under this Agreement. No other measurements or statistics, including those of Advertiser or any third party, will be accepted or have any effect on this Agreement.

6. WARRANTIES FROM ADVERTISER: You, the Advertiser, represents and warrants that you are the authorized owner or representative of the website with the authority to enter into this Agreement. You also warrant that your website does not violate any law, regulation, copyright, patent or trademark. Is not false or misleading and is not involved in hate activities or promotes violence or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age. You also warrant that your website is neither defamatory, libelous, slanderous or threatening.

7. TERMINATION OF SERVICES: Dissatisfaction by any Advertiser with ReaLook or any of the terms and conditions stated in this Agreement may terminate their account. Canceling may be accomplished by going into the Administration area and deleting your account. ReaLook may also, at it's discretion and without notice, terminate an Advertiser's use of a search term or participation in the ReaLook Pay Per Click Advertising Program if ReaLook believes the Advertiser's conduct is harmful to others who use and participate in our advertising program. ReaLook will also terminate any Advertiser whose account has a zero balance, invalid e-mail address or no keywords listed within 30 days of initial registration.

8. REFUNDS: Advertiser's who decide to terminate their account will do so through the Administration area. Upon termination, the Advertiser must notify ReaLook in writing of any monies remaining in the account that were deposited by the Advertiser. Advertiser's may not receive a refund on any monies ReaLook placed in their account as a Bonus or Special Incentive. Initial signup monies that you the advertiser have paid to ReaLook which have Special Incentives or a Bonus attached are not refundable.

9. LIMITS OF LIABILITY: The Advertiser agrees that use of ReaLook is at the Advertiser's own risk. ReaLook is presented on an "as is" and "as available" basis, without warranties of any kind, whether expressed or implied. In addition, neither ReaLook nor the Advertiser will be liable, one to the other, for any consequential, ndirect, incidental, special, punitive or consequential damages that may cause loss of revenue, profits or harm to business reputation arising out of the use of ReaLook, or inability to gain access to or use the services. ReaLook will not be liable for any material listed on Websites it is linked to.

10. CHOICE OF LAW AND VENUE: This Agreement shall be governed by the laws of the State of North Carolina. You agree that any dispute arising under this Agreement shall be the within the jurisdiction of the State and Federal Courts located in Mecklenburg County, North Carolina.

11. REVISIONS: ReaLook may elect to amend or revise this Agreement from time to time. Any revision made of this Agreement by ReaLook will be considered in effect 30 days after ReaLook gives written notice to all current Advertisers.
